Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the USA SuperTech client portal, including our website, account dashboard, device monitoring services, support ticketing system, and any products or services ordered through it (collectively, the "Service"), operated by USA SuperTech ("USA SuperTech," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Description of the Service

USA SuperTech is a managed IT service provider (MSP). Through the Service we may, depending on your organization's plan:

  • Monitor the health, connectivity, and status of your organization's registered devices and network locations;
  • Provide a support ticketing system for reporting and tracking issues;
  • Make available a catalog of third-party software and cloud subscriptions (e.g., productivity suites, security add-ons, backup services) for you to order and be invoiced for;
  • Process payments and manage recurring billing for services and subscriptions;
  • Provide phone, SMS, and voicemail support channels.

Not every feature is available to every account — availability depends on your organization's subscription plan and the permissions your organization's administrator has granted you.

3. Account Registration & Eligibility

You must be at least 18 years old and able to form a binding contract to create an account. You agree to provide accurate, current, and complete information during registration (including a valid phone number) and to keep that information up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at help@usasupertech.com if you suspect unauthorized use of your account.

You may also create or access an account using Google or Microsoft sign-in. Doing so is subject to that provider's own terms in addition to these Terms.

Every account belongs to an organization. Depending on how your organization is configured, you may be automatically placed into an existing organization (for example, if your email domain matches one already registered) rather than creating a new one.

4. Acceptable Use

You agree not to:

  • Access or attempt to access accounts, organizations, or data that are not your own or that you are not authorized to view;
  • Interfere with, disable, tamper with, or attempt to circumvent any device monitoring agent, security control, or rate limit;
  • Reverse engineer, scrape, or use automated means to access the Service beyond normal interactive use;
  • Use the Service to transmit unlawful, abusive, or harmful content, or to violate any third party's rights;
  • Resell or provide access to the Service to any third party without our prior written consent.

We may suspend or terminate accounts that violate this section, with or without notice, at our discretion.

5. Device Monitoring & Remote Management Authorization

If your organization enrolls devices for monitoring, you authorize USA SuperTech and our remote monitoring and management (RMM) platform provider to install monitoring software on those devices and to collect operational data from them — including device name, local and public IP address, operating system, manufacturer, serial number, connectivity status, and assigned network location — for the purpose of monitoring, maintaining, securing, and supporting those devices. You represent that you have the authority to grant this access for every device you enroll (for example, that it is owned or lawfully controlled by your organization).

6. Fees, Billing & Subscriptions

Fees for the Service are as described on your invoice, order, or subscription confirmation at the time of purchase. Payments are processed by our third-party payment processor, Stripe; USA SuperTech does not store your full card or bank account number. Subscriptions renew automatically at the end of each billing period unless canceled beforehand through your account's billing settings. You are responsible for all charges incurred under your account, including charges resulting from products or subscriptions ordered through our catalog. Refunds, credits, and cancellations are handled at USA SuperTech's discretion unless otherwise stated in a signed service agreement between you and USA SuperTech.

7. Support Communications

Support requests submitted through the ticketing system, and calls, SMS messages, and voicemails exchanged with our support line, may be logged and retained to provide support, maintain service quality, and for training purposes.

8. Staff Support Access ("Delegated Access")

To diagnose and resolve support issues, authorized USA SuperTech staff may, with appropriate internal permission, temporarily view your organization's account data (such as devices, tickets, and user list) from within the portal in a support-access mode. This access is permission-gated and logged internally. Staff access that can take actions on your behalf (rather than view-only) is limited to what is necessary to resolve the specific issue at hand.

9. Third-Party Services

The Service relies on and integrates with third-party providers, including but not limited to Stripe (payment processing), Google and Microsoft (sign-in), our RMM platform provider (device monitoring), Ingram Micro (fulfillment of software and cloud subscription orders), and Twilio (phone, SMS, and voicemail infrastructure). Your use of features backed by these providers is also subject to their own terms and privacy policies. We are not responsible for the acts or omissions of these third parties.

10. Intellectual Property

The Service, including its software, design, and content (excluding your own data and any third-party products made available through the catalog), is owned by USA SuperTech or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription term.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available." While we work to keep monitoring, alerting, and support accurate and timely, we do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, USA SuperTech is not liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the twelve (12) months preceding the claim, except where a separate signed service agreement between you and USA SuperTech states otherwise.

12. Termination

You may stop using the Service and cancel your subscription at any time through your account settings. We may suspend or terminate your account for violation of these Terms, non-payment, or as otherwise permitted by law. Upon termination, your right to use the Service ends immediately; certain provisions of these Terms (including billing obligations already incurred, intellectual property, and limitation of liability) survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page with a new "Last updated" date, and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
